New York County LLC Publication

Manhattan LLC Publication Service — $1,299 All-Inclusive

If your New York LLC's formation filing identifies New York County as its office county, you generally must complete New York's newspaper publication requirement. That means arranging a notice in a county-designated daily newspaper and weekly newspaper for six consecutive weeks, collecting both affidavits and filing the Certificate of Publication with New York State.

Manhattan LLC publication is not simply a matter of choosing two inexpensive newspapers. For an LLC whose New York filing specifies New York County, the County Clerk handles newspaper designation through a request process, and the publications assigned can significantly affect advertising cost. Our complete service handles the designation, legal notice, six weeks of publication, affidavits, and final state filing.

Our $1,299 standard New York County service includes notice drafting, designated newspaper coordination, both six-week advertisement runs, the two Affidavits of Publication, Certificate of Publication preparation, the $50 state filing fee, filing coordination and digital completion records. There is no additional expedite fee.

What New York LLC Publication Actually Requires

Under New York Limited Liability Company Law § 206, most newly formed domestic LLCs must publish a copy of their Articles of Organization or an authorized notice containing the required information. The notice runs once a week for six consecutive weeks in two newspapers, one printed daily and one printed weekly, designated by the county clerk for the LLC’s county of office. The LLC must then file a Certificate of Publication with both newspaper affidavits at the New York Department of State.

The requirement is about the county specified in the LLC’s official filing, not necessarily where the member lives, where customers reside, where a mailing address is located, or where a commercial registered agent has offices. Check your Articles of Organization before deciding which newspaper market to use. If you need to correct your county designation, review our guide to changing an LLC county before publication before purchasing advertising.

The legal deadline is generally 120 days after the domestic LLC’s Articles of Organization become effective. For foreign LLCs authorized to conduct business in New York, the comparable publication rule is contained in LLC Law § 802, and the 120-day period generally begins after the Application for Authority is filed. Ordinary newspaper publication is a post-formation compliance step, not the document that originally creates an LLC.

What you receive when publication is complete

The two newspapers provide signed Affidavits of Publication after the six-week run. The completed Certificate of Publication, with both affidavits attached, is then submitted to the Department of State with its $50 filing fee. Your records should include both affidavits and the filing confirmation. For a fuller explanation of each document, read what a New York Certificate of Publication does.

New York County Means Manhattan: Verify Your Office County First

“New York County LLC publication” and “Manhattan LLC publication” refer to the same geographic county. Manhattan is one of the five boroughs of New York City; its county is New York County. This is particularly important because other boroughs have different county names and their own newspaper designation procedures.

New York City borough County shown in LLC filing Our current standard publication price
Manhattan New York County $1,299
Brooklyn Kings County $1,149
Queens Queens County $999
The Bronx Bronx County $1,149
Staten Island Richmond County $749

These are LLC Publication Online service prices, not government-set fees for the five boroughs. You must publish in the county properly designated in your formation or authorization documents. A Manhattan business cannot automatically use the less expensive Queens or Nassau publication service just because a member maintains a mailbox or coworking address there.

If your documents specify “County: New York,” select New York County when ordering. If you are unsure whether your business information is correct, see can I change my LLC county before publication?.

How New York County Clerk Newspaper Designation Works

This is the most important local difference for Manhattan. Unlike counties that simply publish a static list and allow advertisers to approach a qualifying pair, the New York County Clerk’s Executive Office provides instructions for obtaining the LLC or PLLC publication designation.

According to the Clerk’s official guidance, the request must be sent with PDF copies of the LLC’s filing receipt showing New York County and Articles of Organization. The Clerk’s Executive Office is located at 60 Centre Street, Room 161, New York, NY 10007. The office lists (646) 386-5956 as its phone number and supplies a submission email on its website.

Why the filing receipt matters

The filing receipt confirms the New York Department of State accepted the formation filing and helps establish that New York County is the intended office county. The Articles of Organization supply the underlying LLC information. If you only have an unfiled draft or the LLC is still awaiting acceptance, the Clerk may not have what it needs to designate the newspapers.

Can I choose the least expensive Manhattan newspaper?

Do not assume you can. For New York County, request the Clerk’s designation and follow the response. Placing an advertisement without obtaining the appropriate designations can produce an invalid publication run. Ads are expensive enough in Manhattan that this is not a reasonable step to skip.

Which newspapers are commonly mentioned for Manhattan LLC notices?

The New York legal-advertising market includes publications such as the New York Law Journal, New York Post, Daily News, Hamodia and community publications. These are market examples, not a current approved or assigned pair for your LLC. The Clerk’s response controls. A newspaper used for one Manhattan LLC may not be the pair designated for another, and designations can change.

The safest order of operations is receive the Clerk’s designation first, then arrange the six-week advertisements. You can consult the official New York County Clerk Executive Office instructions directly, or use our service to coordinate the process.

Manhattan LLC Publication Cost: Why It Is $1,299

Publication in Manhattan is generally more expensive than in many Hudson Valley and upstate counties, where designated advertising rates can be substantially lower. New York County’s process involves clerk-directed newspaper assignments, and the final cost depends on the publications involved as well as notice length and newspaper charges.

LLC Publication Online charges $1,299 for its standard New York County package, including publication management and the $50 Certificate of Publication filing fee. This is a bundled service price, not an official court or county filing fee.

What the $1,299 standard service includes Handled for you
New York County publication designation coordination Yes
Preparation of domestic LLC legal notice Yes
Designated daily newspaper placement Yes
Designated weekly newspaper placement Yes
Once weekly for six successive weeks in each paper Yes
Two Affidavits of Publication Yes

Separate rush surcharge No

Can I get cheap LLC publication in Manhattan?

“Cheap Manhattan LLC publication” should mean cost-effective while following the correct designation, not skipping a newspaper or using a different county. A quote for only one newspaper, a single-week placement, or notice preparation without the final filing is not comparable to an all-inclusive six-week service. Ask providers what they include and whether they obtain the County Clerk’s designation.

For a statewide breakdown, read how much LLC publication costs in New York. If price is your primary concern, you also may find our cheap LLC publication in NY guide helpful—but do not change the stated office county solely to buy an unauthorized ad.

Manhattan LLC Publication Timeline: The Clerk Request Adds a Step

The statutory newspaper run is six successive weeks. Before the first issue, a Manhattan LLC typically must obtain the appropriate designation from the County Clerk, confirm the publishers’ advertising deadlines, and submit the prepared notice.

Phase What to plan for
Formation review Verify filed Articles, receipt and New York County designation
County Clerk request Submit required PDFs and obtain the publication designation
Notice and schedule Coordinate with the designated daily and weekly publishers
Newspaper run Six consecutive weekly placements in each newspaper
Affidavits Collect publication proofs after the final issues
Department of State filing Submit certificate, both affidavits and included $50 fee

A planning estimate of roughly seven to nine weeks is sensible for many orders, but Manhattan-specific assignment and publisher schedules can affect the total. Do not promise yourself a six-week completion date merely because the legal advertisements run for six weeks; the final filing is a separate step.

Manhattan LLC Publication for Businesses Across New York County

The publication requirement is county-based—not neighborhood-based. A company with the proper New York County office designation follows the same legal rule whether it rents a suite in Midtown, works out of a home office in Inwood or owns a rental building in the Financial District.

Midtown Manhattan and the Garment District

Consultants, agencies, technology providers and professional service companies frequently use Manhattan office addresses. A coworking membership or executive-suite mailing address does not automatically establish which county the LLC must publish in. Check the formation document and obtain the County Clerk’s designation before advertising.

Financial District, Tribeca and Battery Park City

Real estate holding companies, investment entities, software businesses and other LLCs associated with Lower Manhattan often ask whether their registered agent’s address controls the publication county. It does not necessarily. The governing starting point is the county of office identified in the LLC’s New York filing. The Secretary of State’s service-of-process mailing address can be different.

Chelsea, Flatiron, SoHo and Greenwich Village

Retail brands, creative studios, restaurants and design businesses may have several sites or use third-party offices. Publishing an LLC formation notice is a state compliance obligation, not an advertisement tied to the storefront’s neighborhood circulation. The Clerk’s designated papers—not an owner's favorite local news outlet—are what matter.

Upper East Side, Upper West Side and Harlem

Property LLCs, independent professionals and service businesses based in these neighborhoods still follow the New York County process when the filing identifies New York County. A single-member LLC does not receive a general exemption because the owner operates alone.

Washington Heights and Inwood

The northern tip of Manhattan is still New York County. It is not Bronx County simply because the business is near the Harlem River. Confirm the county in the state filing rather than using a ZIP code or nearby borough as a proxy.

Domestic, Foreign and Professional LLCs in Manhattan

The standard domestic LLC publication notice differs from the one for a foreign LLC authorized to operate in New York. If your LLC was originally created in Delaware and later qualified in New York, use the foreign-company rules and the filing date of its New York Application for Authority, not the date of its Delaware formation, to evaluate the 120-day deadline.

Professional limited liability companies (PLLCs) also have publication rules that may follow different statutory sections and particular professional requirements. The New York County Clerk’s Executive Office explicitly includes LLCs and PLLCs in its publication instructions. Our $1,299 price is the standard county LLC service price; confirm any special PLLC or unusually long-notice requirements when ordering.

Frequent Manhattan Publication Errors

Using “New York” as the state rather than the county

New York can mean the state, the city or New York County. A filing that says “County: New York” refers to Manhattan. The same name ambiguity is why you should verify the actual county field before requesting newspaper designation.

Hiring a newspaper before receiving the Clerk’s response

If the newspaper is not the one designated for your LLC, the publication may not satisfy the law. Obtain the Clerk’s instruction first and preserve it with your records.

Confusing a newspaper receipt with final compliance

A paid invoice and printed notice are not the end of the process. You need both publisher affidavits and a filed Certificate of Publication. Read what the Certificate of Publication proves before considering the obligation complete.

Publishing in Queens to avoid Manhattan rates

The five NYC counties are not interchangeable for LLC newspaper publication. Our Queens County LLC publication guide describes a different Clerk process; that guidance applies only when Queens County is properly designated in the LLC filing.

How the Six-Week LLC Publication Process Works

1. Review the state formation or authorization filing

Check the company’s exact legal name, New York filing date, designated county, street address of the principal business location if any, mailing address for legal process, registered agent information if applicable, and any other statements required by law. A foreign LLC should also identify its home jurisdiction, original formation date, and the name under which it is authorized in New York. Accuracy at this stage helps avoid paying to run a corrected notice later.

2. Obtain the correct county newspaper designations

The clerk’s rules and newspaper lists vary considerably from county to county. The publication must use an authorized daily newspaper and an authorized weekly newspaper. The designated pair is not interchangeable with an arbitrary local blog, online directory or free community listing. We handle newspaper coordination as part of the service.

The notice uses the LLC’s formation or authorization information, not general promotional copy. Newspaper deadlines are based on actual print schedules; a placement may begin in the next available issue rather than the same day an order is submitted. Publishing the same notice online, or publishing once in one newspaper, does not replace six successive weekly publications in both qualified papers.

4. Complete the required six consecutive weeks

Each newspaper publishes the notice once a week for six successive weeks. The start dates can differ. Track the dates for each publication separately, and do not count a proposed date as a completed advertisement until the newspaper confirms placement.

5. Obtain affidavits from both publishers

The publisher’s Affidavit of Publication identifies the notice and confirms when it ran. Both affidavits are required for the standard Certificate of Publication filing. A screenshot of the advertisement or an invoice alone is not a substitute for the required affidavits.

6. File the Certificate of Publication with New York State

After the affidavits arrive, prepare the appropriate domestic or foreign Certificate of Publication and file it with the New York Department of State, Division of Corporations, at One Commerce Plaza, 99 Washington Avenue, Albany, NY 12231. The state filing fee is $50 and is included in our advertised service price. Once the state accepts the filing, keep the paperwork with the LLC’s permanent business records.

A broader process overview is available in our step-by-step New York LLC publication guide.

The 120-Day Deadline, Late Publication, and Compliance

The six-week advertising period is fixed by state law. Because preparation, newspaper scheduling, affidavit delivery and state processing add time, the safest approach is to start soon after formation or authorization rather than waiting until the last month of the deadline. Our practical planning range for the full process is often seven to nine weeks, although actual turnaround may be shorter or longer depending on the newspapers and the Department of State.

What happens if you miss 120 days?

For an LLC subject to the publication rule, failing to complete publication and file the required proof within the statutory period causes a suspension of authority to carry on, conduct or transact business in New York. This is serious, but the statute does not say that the LLC automatically dissolves or that existing contracts become void solely because the deadline was missed. The law preserves specified contractual rights and obligations.

Can an overdue LLC still publish?

Yes. An LLC that missed its publication deadline can generally correct the issue by publishing in the proper newspapers and filing a Certificate of Publication with both affidavits. The statutory suspension is annulled upon a substantially compliant filing. If the business has been operating for a long time or faces a transaction, litigation or licensing question, consult a New York attorney about the legal implications of its particular situation. We explain the issue further in what happens if you never publish your LLC.

Can the six-week period be expedited?

The law does not provide a paid shortcut to compress the six successive weeks. A service can act promptly to arrange advertisements and handle affidavits without an extra rush fee, but it cannot transform six weeks of legally required newspaper notices into one or two weeks.

Domestic LLC Publication Notice Example for New York County

A notice should contain the substance of the Articles of Organization and the information required under § 206. The following example uses a fictional company name and placeholders so you can see the general format without mistaking it for a final legal notice.

NOTICE OF FORMATION OF LIMITED LIABILITY COMPANY. Notice of Formation of [Example Business LLC]. Articles of Organization filed with the Secretary of State of New York (SSNY) on [Filing Date]. Office location: New York County. Principal business street address, if any: [Street Address]. SSNY designated as agent of the LLC upon whom process against it may be served; SSNY shall mail process to [Complete Mailing Address]. Purpose: Any lawful purpose.

The correct notice also needs to reflect any distinct effective date, registered agent information, specific dissolution date and other applicable items under the statute. Do not replace the SSNY service-of-process address with a guess or use an owner’s residence merely because it seems convenient. Compare every fact with the accepted state filing. For more examples, see our NY LLC publication notice wording guide.

Foreign LLC Publication in New York County

A foreign LLC is an LLC formed outside New York that applies for authority to do business in the state. For example, a Delaware, Connecticut, Florida or New Jersey LLC may become subject to New York publication rules after filing its Application for Authority. The relevant publication county is the county specified for the New York office in that application; the home state does not select the newspapers.

Foreign LLC notices are more detailed than ordinary domestic formation notices. They generally include the authorized New York name, filing date of the Application for Authority, original formation jurisdiction and date, New York office county, process mailing address, the address of the required or principal office in the formation jurisdiction, and the identification of the foreign jurisdiction’s filing authority. If the original legal name differs from the name authorized in New York, the text should account for both accurately. Additional information can be needed depending on the filing.

The foreign LLC publication requirements guide covers those differences. The publication duty for most foreign LLCs appears in New York LLC Law § 802; its 120-day deadline is generally tied to filing the New York Application for Authority, not the date the business first formed elsewhere.

Example: foreign LLC notice in New York County

NOTICE OF APPLICATION FOR AUTHORITY OF FOREIGN LLC. Application for Authority of [Authorized New York LLC Name], a foreign limited liability company, filed with the Secretary of State of New York (SSNY) on [NY Filing Date]. LLC formed in [State or Jurisdiction] on [Original Formation Date]. Office location: New York County. Principal business location, if any: [Street Address]. SSNY designated as agent for service of process; SSNY shall mail process to [Complete Mailing Address]. Office required to be maintained in formation jurisdiction, or principal office if none required: [Full Address]. Organizational document filed with [Name and Address of Home Jurisdiction Filing Authority]. Purpose: Any lawful purpose.

This is a simplified educational sample, not a ready-to-submit notice. It assumes that the authorized New York name matches the original legal name, the filing is publicly maintained in the formation jurisdiction, and no extra registered-agent or other clauses apply. Actual foreign LLC notices must be drafted from the precise Application for Authority and the requirements of § 802.

New York County LLC Publication FAQs

Is New York County the same as Manhattan for LLC publication?

Yes. New York County is the county corresponding to the borough of Manhattan. If your Articles of Organization say the LLC office is in New York County, the Manhattan publication process applies.

How much is Manhattan LLC publication with LLC Publication Online?

Our published standard New York County price is $1,299 all-inclusive, including newspaper advertisements, affidavits, Certificate of Publication preparation and filing, and the $50 NY State filing fee.

Does the New York County Clerk assign the newspapers?

The Clerk provides the required newspaper designation through its Executive Office process. It asks for the LLC filing receipt identifying New York County and the Articles of Organization in PDF format. Follow the designation response before booking advertisements.

Can I pick the least expensive newspaper in Manhattan?

Not simply based on price. The newspaper pair must satisfy the County Clerk’s designation for your LLC. An unauthorized newspaper may mean the notice does not meet the statute.

What papers are designated for Manhattan LLCs?

The appropriate daily and weekly pair comes from the New York County Clerk’s designation process. Various New York legal newspapers may appear in the market, but you should not treat an online list as the assignment for your specific LLC.

Can I publish a Manhattan LLC in Queens instead?

Not solely to save money. The proper publication county follows the county stated in the LLC’s official New York filing. Queens has its own clerk and newspaper procedure.

Why is New York County LLC publication so expensive?

Manhattan has a separate County Clerk newspaper designation process and a higher-cost legal advertising market than many upstate counties. The $1,299 shown here is our complete service price, not a separate government filing charge.

How many newspapers must a Manhattan LLC use?

The standard publication requirement is two newspapers: one printed daily and one weekly, designated by the New York County Clerk.

How many weeks must a Manhattan LLC publish?

The notice must appear once per week for six consecutive weeks in each of the two designated newspapers.

How long does New York County LLC publication take?

The legally required advertising period is six weeks. With Clerk designation, scheduling, affidavits and state filing, approximately seven to nine weeks is a practical planning range, not a guaranteed turnaround.

Does a Midtown coworking address make the LLC a Manhattan LLC?

Not by itself. The designated office county in the official LLC filing controls the publication county. A coworking address or mailing address is not a substitute for checking the Articles or Application for Authority.

Does a foreign Delaware LLC need to publish in Manhattan?

Generally yes if it filed an Application for Authority in New York that designates New York County for its New York office. The foreign LLC publication provisions are in LLC Law § 802.

Does a single-member Manhattan LLC need to publish?

Generally yes. Being owned by one person does not create a general exemption from New York’s LLC newspaper publication requirement.

Does a Manhattan real estate LLC have to publish?

Generally yes when it falls within the publication statute. Holding property rather than operating a storefront does not automatically exempt an LLC.

What happens if I miss the Manhattan 120-day publication deadline?

Failure to publish and file the required proof by the statutory deadline results in suspension of the LLC’s authority to carry on, conduct or transact business in New York. It can generally be corrected by completing publication and filing proof.

Can I finish a late Manhattan LLC publication?

Yes. Completing the required newspaper run and making a substantially compliant Certificate of Publication filing can annul the suspension described by the law.

Where is the New York County Clerk office?

The Executive Office is listed at 60 Centre Street, Room 161, New York, NY 10007. Its posted telephone number is (646) 386-5956.

Where do I file the Certificate of Publication?

The final certificate and two affidavits are filed with the New York Department of State, Division of Corporations, in Albany, with a $50 filing fee.

Can I run the Manhattan notice entirely online?

No. A website or social media post does not replace publication in the two properly designated newspapers. You can, however, order and coordinate the service online.

Must I republish every year?

No. Publication is generally a one-time formation or authorization obligation, although LLCs have other ongoing filing and compliance duties.

Why Business Owners Use LLC Publication Online
