The Requirement

New York is one of only three states that requires newly formed limited liability companies to publish notice of their formation in two newspapers — one daily and one weekly — for six consecutive weeks in the county where the LLC's office is located.

The newspapers must be designated by the county clerk. After publication, affidavits from each newspaper must be filed alongside a Certificate of Publication with the New York Department of State within 120 days of formation.

Failure to comply within 120 days suspends the LLC's authority to carry on, conduct, or transact business in New York State.

Is LLC publication in New York really required?
Yes. Section 206 of the New York Limited Liability Company Law requires every domestic and foreign LLC to publish notice in two newspapers designated by the county clerk for six successive weeks. Failure to comply within 120 days suspends your authority to do business in New York.
Why does NYC cost more than other counties?
The five NYC counties (Bronx, Kings, New York, Queens, Richmond) have court-set publication rates that are significantly higher than the rest of the state. We pass through the actual newspaper invoices plus our flat service fee — there is no markup.
How long does the entire process take?
Publication itself runs for six consecutive weeks. We typically begin the first week of your order. Once publication is complete, we file the Certificate of Publication with NY DOS — total turnaround is usually 7–9 weeks from order to filing.
Do you charge extra to expedite?

What if I miss the 120-day window?
You can still publish — the suspension is automatic but reversible. Once publication is complete and the Certificate is filed, your LLC is reinstated. We handle late filings at the same flat rates.
