How your county is determined
Section 206 of the New York Limited Liability Company Law requires publication in the county where the LLC's office is located, as stated in the Articles of Organization. That is the only county that counts. Your home address, the place you do business, and your registered agent's address don't change it.
If you're not sure which county is on file, check the filing receipt you received from the Department of State, or look up your LLC with our New York Entity Search. The county appears in every search result.
Why LLC publication prices differ by county
The County Clerk in each county designates two newspapers to carry LLC notices, one published daily and one weekly. The notice runs in both papers once a week for six weeks, so most of the cost is the newspapers' own legal-notice rates.
Those rates vary a lot across the state. Newspapers serving New York City and the downstate suburbs charge far more for legal notices than papers upstate, which is why the same six-week publication costs $1,299 in Manhattan and $349 in most upstate counties.
| Domestic price | Counties |
|---|---|
| $349 | 40 counties, mostly upstate, including Albany, Onondaga, Orange, and Saratoga |
| $399 | 11 counties, including Dutchess, Erie, Greene, and Tompkins |
| $449 – $649 | Monroe, Nassau, Putnam, Rockland, Westchester, and Suffolk |
| $749 – $1,299 | The five New York City counties |
Domestic vs. foreign LLC publication
A domestic LLC is formed in New York. A foreign LLC is formed in another state, such as Delaware or Florida, and then registered with the Department of State to do business in New York. Section 206 requires both to publish, and the deadline for both is 120 days, counted from the formation date for a domestic LLC and from the registration date for a foreign LLC.
A foreign LLC's notice includes extra details about its home state and original formation, so publication for a foreign LLC costs $100 more than for a domestic LLC in the same county.
What the county price includes
- Confirming the current newspaper designations with the County Clerk
- Placing your notice in both designated newspapers for six consecutive weeks
- Collecting both Affidavits of Publication
- Preparing your Certificate of Publication and filing it with the Department of State
- Every order handled as expedited, at no extra charge
The 120-day deadline is the same everywhere
Whatever your county, publication must be completed and the Certificate of Publication filed within 120 days of your LLC's formation date. Missing it suspends the LLC's authority to do business in New York until you publish. Read what happens if you don't publish your LLC for the details.
