The Basics

Is LLC publication in New York really required?
Yes. Section 206 of the New York Limited Liability Company Law requires every domestic and foreign LLC to publish notice in two newspapers designated by the county clerk for six successive weeks. Failure to comply within 120 days suspends your authority to do business in New York.
Why does NYC cost more than other counties?
The five NYC counties (Bronx, Kings, New York, Queens, Richmond) have court-set publication rates that are significantly higher than the rest of the state. We pass through the actual newspaper invoices plus our flat service fee — there is no markup.
How long does the entire process take?
Publication itself runs for six consecutive weeks. We typically begin the first week of your order. Once publication is complete, we file the Certificate of Publication with NY DOS — total turnaround is usually 7–9 weeks from order to filing.
Do you charge extra to expedite?
No. Every order is treated as expedited. We contact the newspapers within 24 hours of your order and begin publication at the earliest available issue date.
What if I miss the 120-day window?
You can still publish — the suspension is automatic but reversible. Once publication is complete and the Certificate is filed, your LLC is reinstated. We handle late filings at the same flat rates.
What do I receive when it's done?
You receive (1) copies of both newspaper Affidavits of Publication, (2) the filed Certificate of Publication with the NY DOS receipt stamp, and (3) tearsheets of the published notices. Everything is delivered as a digital packet.

Can you do business before LLC publication?
Yes. Your LLC is formed and legally exists the moment the New York Department of State accepts your Articles of Organization. You can sign contracts, open a bank account, hire employees, and operate normally during the 120-day window before publication is complete. The publication requirement is a compliance step that must be satisfied within 120 days of formation — if you miss the deadline, your LLC's authority to conduct business is suspended until publication is complete and the Certificate of Publication is filed. Many founders choose to begin operating immediately and complete publication in parallel.
Does LLC Publication Online offer real-time order tracking?

Every milestone is timestamped and you receive email notifications at each stage.
What newspapers do you use to publish LLC notices?
We use the newspapers appropriate to each county based on the County Clerk's designation. New York law requires that publication run in two specific newspapers — one daily and one weekly — that the county clerk has officially designated for legal notices. We work with the designated newspapers in all 62 New York counties.
Do you offer discounts if I have more than one LLC to publish?

Can you obtain Certificate of Status (Certificate of Good Standing) before LLC publication?
Yes. Your LLC is formed and legally exists the moment the New York Department of State accepts your Articles of Organization. You can order Certificate of Status New York also know as Certificate of Good Standing in order to move forward with setting up bank accounts, applying for credit cards or loans, or entering into contracts with business partners.

Legal & Compliance

Is my LLC dissolved if I don't publish?
No. Your LLC is suspended, not dissolved — these are different legal statuses. Suspension means your authority to conduct business is paused, but your LLC still exists as a registered entity with the Department of State. Dissolution would mean your LLC ceases to exist entirely, which is a separate process requiring formal Articles of Dissolution.
Can I sue someone if my LLC hasn't published?
Not until you complete publication. Section 206 suspends a non-compliant LLC's ability to "maintain any action or special proceeding" in New York courts. You can still defend against lawsuits brought by others, but you cannot initiate one. The good news: once you complete publication and file the Certificate, your authority is restored — courts treat this as retroactive.
Does not publishing affect my personal liability protection?
No. Section 206 explicitly states that suspension does not "result in any member, manager or agent of such limited liability company becoming liable for the contractual obligations or other liabilities of the limited liability company." Your personal liability shield as an LLC member or manager remains intact during any suspension.
Is there a fine for late LLC publication?
No. New York does not impose a state fine, late fee, or penalty surcharge for publishing after the 120-day deadline. The newspaper rates and our flat service fee are identical whether you publish on time or years late — the only consequence is that your LLC's business authority is suspended during the gap.

Pricing & Payment

What's included in the flat fee?
Everything: obtaining your newspaper designation from the County Clerk, coordinating with both designated newspapers, six full weeks of publication, collecting both Affidavits of Publication, preparing your Certificate of Publication, and filing it with the New York Department of State along with the $50 state filing fee.
Are there any hidden fees?
No. Our pricing is the all-in cost for your county. There are no expedite fees, no add-ons, no recurring charges, and no requirement to purchase additional services like a registered agent or county change. NY publication is a one-time statutory requirement, not an ongoing service.
What payment methods do you accept?
We accept all major credit cards (Visa, Mastercard, American Express, Discover) processed securely with 256-bit SSL encryption. Bulk and professional accounts can be invoiced.
What is your refund policy?
Full refunds are available before publication begins — typically within 24–48 hours of placing your order, before we have booked the newspapers.
